I have used Rebecca twice on two totally different matters and she was terrific each time. The first time she represented us against a hostile renter who was threatening to sue. She listened carefully, did careful research and wrote a four page letter detailing his violations of our rental agreement that extinguished the matter. This Spring were decided to sell our home and she agreed to present us in drawing up the Purchase/Sale Agreement. Our closing is this week and she has been wonderful. Even though five years lapsed between our contacts it was as if it were yesterday. She is personable and takes a direct interest in you as her client. If I may say so, I would call her a friend. We all need a good lawyer every once in a while. Look no further if you want someone professional and dedicated to your well being.

Josh was my Attorney in 2013. I could not have picked a smarter guy to represent me in my wrongful termination case. Josh and his staff were friendly and very approachable and the research done on my case was spot on. Needless to say, we won and I was very satisfied with the results of my settlement. Thank you Josh and Zack Tyson for all your hard work and dedication to my case!

I hired Josh to defend me in an employment case. I already had a severance offer from the company because they knew they had screwed up and clearly retaliated against me for a discrimination complaint. He told me that I had a strong case and promised he could get me more. I told him I could not afford to pay him and he agreed to take the case on contingency. I should have seen the signs early on that he was never fully engaged in my case because he never seemed to grasp the details or the timeline. He kept asking me the same questions over and over again and would forget the answers I gave him. He assigned a junior attorney to the case right after I signed the agreement who was overwhelmed and intimidated by opposing counsel. He started my complaint with an astronomical demand that would have obviously been rejected. He spent the first few weeks doing absolutely nothing. No depositions were scheduled, no subpoenas and very little discovery. Then I started hearing that my deposition was to be scheduled before any others. When I asked why opposing counsel seemed to be in the driver's seat I was told "that's usually the way it is". So 6 months went by and no progress. I was deposed in February and the other side had still not been deposed. Finally with my constant urging, depositions of my former employer were scheduled for May. But in March, Josh started calling me and telling me that because an innocent and innocuous error was discovered on my resume (that had no relevance to my being hired or not at the time), he could not continue my case until I deposited $10,000 in his trust account. I explained to him that their depositions were key to my case and the other side was clearly grasping at straws but he kept insisting that suddenly a case that was worth millions in his initial assessment was now "not winnable" and needed to be immediately settled. Even before a single deposition had been done to establish the facts of my case, he was telling me that he needed me to start paying him or settle for very little. He left me no choice but to allow him to settle my case for nothing as I couldn't afford to give him the money he was demanding in order to do his job and depose the defendant. In the end, I had to agree to let him settle for nothing. He then failed to even protect my interests and prevent the employer from taxing my settlement check at 50% tax rate. I received my final settlement with his cut taken out of it but also he charged me for every court filing and Uber transportation charge he incurred. When I look back at it, he took the case and promised me I had a strong case to jump in and see if he could get part of a quick settlement. When it looked like he would be spending more time that he bargained for actually defending and deposing, he backed away, put a financial gun to my head and did what was best for him ultimately, not what was best for me. He is in it for himself. I wouldn't recommend him to anyone and wish I had gone to a large reputable firm instead. Hind sight is 20/20 but I wrote this review to prevent someone else from making the same mistake of hiring Josh Gruenberg...

While working overseas I sustained a back injury that prevented me from returning to my location and was further let go by my employer. I was referred to Joann and never looked back, her professionalism and knowledge was superb. She was always there to address any concerns I had and explained everything clearly to my understanding. Nothing but positive things to say about Joann and her team at Mara Law Firm. Keep up the great work.

Joann goes above and beyond for her clients. You could not be in better hands for representation during a DBA case. She puts in the work needed to address every angle the insurance companies will use to discredit you and your case. My case took 4 years to complete, I started with Jill, (another talented lawyer at the Mara Law firm) and switched to Joann for the last 2 years. I could not be more pleased with her representation from start to finish! The nature of my injury was a traumatic brain injury which interferes with my ability to remember what I experience from day to day. I am self-conscious about my disabilities and I know I probably called and asked the same questions a few times, but Joann and the Mara Law Firm staff were always very responsive, easy to contact, and never made me feel bad or even pointed out that I had already called and asked the same questions previously. They were spectacular! They helped me through one of the toughest times of my life. We were able to reach a settlement at my mediation and did not have to go through the lengthy process of court. Joann is truly an exceptional attorney. Thank you very much for all of your help and attention to detail with my case!

I was told Marc needed some paralegal support, and I needed some representation for a personal matter of my own. I was told by Bobby, Marc's paralegal, that they would trade me service's. I was worked like a dog night and day for this firm, seven days a week and even on easter, thinking I am racking up hours on my tab, while Bobby was giving me every excuse in the book about why I'm not getting my retainer agreement, nor is he calling to schedule my court date. Finally after two months of the runaround, and I've refered him $25,000 in business, I put my foot down and said no more work was coming until I saw my retainer agreement. That's when the 180 degree flip where I was insulted, name called, ridiculed, and even threatened. At no time did Marc step in to resolve anything. Wondering if just me, I checked with the San Diego court, where I got the number of two plaintiffs charging Marc with professional negligence. I called and got quite an earful about how I was not a unique case. The woman broke down and cried when telling me how Marc threatened her while she was in the middle of leaving an abusive marriage. So if you're a woman especially, I would proceed with caution.

I have been trying to reach my disability attorney for a week and she has not returned my calls or voicemails. Then today I was informed by her answering service that they have been receiving MULTIPLE complaints from many other clients that she has just disappeared for a week, and hasn't been returning anyone's calls. The call center can't even reach her. I get that personal matters come up sometimes, but if she's not totally unreachable she still has the duty to her clients to let them know what's going on with her and when she expects to be reachable. I have a legal date coming up and need to talk to my attorney about what to do, and I can't get ahold of her. This isn't an isolated incident either, as I frequently have difficulty reaching her. It seems almost like she does this as a side business and has other things in addition. This is a one-person operation so there's no one else you can reach if she doesn't return your calls or emails, which is frequent. I am going to look for other counsel. NOT recommended.

Don't waste your time waiting for John to do your income tax. When I asked him that I needed to make the quarterly payment on Apr. 15, he said I didn't need to. Really?! This could cause me the tax penalty! He did not return my phone calls and emails. He even deleted my emails which contained important financial info. Then he'd ask me to re-send the same emails to him repeatedly. The 888 number on the webpage is disconnected. After giving him the tax documents for more than 2 months and without any status, I fired him. He's just utterly unprofessional.

I think Scannell is probably a good CPA and good at doing taxes. However, this past year we had some real issues with him. My husband got his tax stuff in late, so an extension was necessary. After that, we waited months for the taxes to be done. I was so desperate I started calling every two weeks. After a few months of this he literally picked up the phone and told me that every time I call, he puts our file on the bottom of the stack! I couldn't believe what I was hearing! Even after that it was months later, towards the end of the year, before we got them done, filed and got the refund. I will not go back but I would highly recommend getting all your stuff in quickly and on time if you want them done in any kind of a timely manner.

Nicole Nemeth helped me get through a very difficult divorce case. In my case the other attorney fought about everything. My spouse wanted everything including alimony, the children, all of our bank savings and our house. Bottom line is they wanted to ruin me because my spouse had so much anger. Nicole would not back down, and she made sure that cooler heads prevailed. She know her stuff! She is honest and concerned about your family and children. I don’t know what I would have done without her. If you want a lawyer that will not give up on you, will stand by your side and fight for what is right then you chose the right lawyer.

I hired Rebecca for help with a transfer of property between family members. My laser focus was on Prop 13. I paid her invoices in full within a day or two of receiving them. Yet after the document signing and receiving her invoice on the same day, I heard not one more word from her. Prior to the closing she sent me a letter outlining the final steps that were needed. One specifically said that she would send me a FedEx so I could send back one of the docs signed. I never received the mailer. The mailer was for the KEY and ESSENTIAL document needed by the county to lock in the Prop 13 transfer. Knowing she was moving, I waited a week plus after the signing to follow up with her. I sent her THREE emails asking if she had filed an emailed pdf I sent her with the county. I sent her a copy of HER LETTER saying she would take this action. I asked her if she received my prior emails. She NEVER RESPONDED. What bothered me the most about being ignored was that the issue I was asking about was the fundamental and elemental issue in contacting her in the first place. I brought up the importance of the Prop 13 transfer in virtually every single conversation I had with her. This was not some extraneous and irrelevant topic. I contacted the county and they told me they hadn't received anything so I then started working with them. The county reps were fantastic, responding with clear guidance, within hours of my emails to them. The county could not have been easier to work with. Finally, after waiting nearly four months for the county to process the transaction, I received confirmation that the transfer was done right. Until last week, I lived on pins and needles wondering if the transaction was processed correctly. Rebecca could have eased my concerns if she had simply responded to my emails. Friends ask if I have any idea why she ghosted me and I don't. I was clear in what needed to be done. I was quick in responding to her questions. I paid her full bill without question nearly immediately after receiving it. I don't know what more an attorney could ask for in a client. Her work was accurate as borne out by the confirmed property tax bill. There were a couple of times during the process where she dropped out of sight but popped back up when it was apparent action was necessary. For instance, a Friday afternoon email from me after finding out the closing was the following Tuesday. She jumped into action and got the necessary paperwork done by the end of the day. But was that really necessary? Should she have done the work previously and sent something for me to have reviewed? I kinda think so but I let it slide. But when she ghosted me, it seems to fit a pattern. I debated long and hard whether or not to post this. She did do accurate work (only confirmed after four long months), she was friendly, but I just cannot overlook the fact that she dropped me like a hot potato once she'd been paid. Maybe I was just chump change to her. After all I only paid her nearly $3000. Which isn't really chump change to me.

I sent her retainer after we had carefully discussed my case and fully expected to move forward. From there, however, she began repeatedly changing her information, and contradicting herself repeatedly. At one point she didn’t contact me or do any work on my case for THREE WEEKS. Then she began telling me things that are simply not true. I’ve spoken with other lawyers who made things very clear and simple (As much as possible anyway) and confirmed which things she told me were true and which were not. I don’t know if she is incompetent or was simply not willing to work with a case that didn’t make her a lot of money, but the only good thing I can say about this experience is that she sent my retainer back in full. I am a disabled single mom of two disabled kids and she took my money and wasted my time and energy. Inconsiderate and unacceptable.

It was a pleasure to work with Doug Jaffe. He was professional and has a very impressive amount of experience inside the San Diego courts. He knows what the court expects and that really came in handy.

Mr. Jaffe was recommended to me from the California Bar, I was a service member who was having an issue with someone and he took on my case. Things were decent in the beginning but as time went on they changed drastically. Finally, He took himself off of my case as soon as he thought there was no way for him to make any more money. I did more in one weekend in San Diego than he did in over a year and a half. I did not live in San Diego at the time so I put all of my trust in him just to have it backfire on me. He will ask you for a $1500 retainer and will ask for more within a month from there. He states in his contract that your Retainer is "returned upon request" but after asking multiple times I have never received it. I had asked multiple times for an itemized receipt and never received one. I feel He is not an Honest Lawyer and I would not recommend him to anyone. Find someone who finishes what they start. Oh and the way he went about removing himself as my attorney- He sent me paperwork next day delivery stating that he was requesting his removal from the courts, and provided me with a date that I could fly to San Diego to pose my objections. I flew there, I entered the courtroom at 0845 and the hearing was at 0900, the bailiff could not find my paperwork so he asked me to sit down and wait, when all the cases were reviewed and the judge left he came over to me (the bailiff) and said that Mr. Jaffe was in at 7 am that morning to and told the judge that I lived out of state and would not be attending the hearing, he then signed the documents and was removed without my right to refute.

My husband and I were represented by Stacey DenHerder in 1993 and she did the Trust. My husband died in 2006 and the Trust is very confusing and Stacey DenHerder said to me that she didn't want to represent the Trust. I have consulted several other attorneys and they also are very confused by the wording of the Trust. Because Stacey DenHerder wrote up the Trust . I would think that she would try to make it right. I know that she got her degree in 1992 and was young and inexperienced but to not represent me because she goofed I find very difficult to understand. Stacey herself told me she would not take the time to explain the Trust to me. I was married to my husband and the Trust is in his name not ours. I was in love and a very trusting newlywed. I have spent thousands of dollars trying to figure out what the Trust langage means and I am still lost and want to move on in my life and sell my home but it appears from my reading it that I will have to divide the proceeds of the sale with his children and that will not leave me enough to purchase a home. Other attorneys have no answer for me after reading the Trust and the Ammendment and charging me $200 plus an hour with no resolution accept that I would probably have to go to court to get this resolved by a judge. When I go to an attorney to see how this is done they say they can't help me.

Wasn’t too impressed with this one. While I received what would be considered a normal amount for my claim, I felt like it was more 3 against 1 instead of 2 against 2. If you are my lawyer I expect you to be on my side and not tell me how much you agree with the opposing party and just regurgitate what the other lawyer said. If I wanted the other lawyer’s advice I would just hire the other lawyer. Also, telling me I am not “entitled” to certain things just makes me irritated. I wouldn’t use him again.

When my employer was needlessly stalling returning me to work after I was injured on the job, it looked as if I might never have my job back. ( More than a 14 months had passed since my doctor had released me to return to work .) The employer was making ridiculous excuses and hiring employees at a lower salary to fill my position. Mr. Ruggieri saw right through my employer's unethical tactics and had me back on the job within a matter of a few weeks after I hired him. I will always be grateful for his help.

I was referred to Bruce via the Orange County California State Bar Association. I came to Bruce in the late afternoon with a rushed legal matter that had a next day deadline to respond. Bruce not only took the time to listen to my prospective case with me being rushed & emotional , he also narrowed down the precise actions we needed to take and laid out a winning game plan.

Michael Alfred is an incompetent attorney. He was passive and un-knowledgeable. He made mistakes on our contract and he was never available, seemingly on vacation the last two weeks of every month. He would ask for money, disappear and do nothing. He was reactive to the other side of the case and never seemed to have a plan of his own. When we were being beaten on every aspect of the case he recommended a settlement that benefited the other side. He was late submitting interrogatories then blamed it on me when all he had to do was ask for an extension. Avoid this guy, you can do better.

I was involved in a bicycle accident with a large truck that left me with a complete fracture of my fibula. The injury required the insertion of a plate and screws, and many months of rehab. A cycling friend recommended Amanda to me, and since she is a cyclist herself, it meant I would have someone representing me that had experience on the bike as well. Amanda was very well versed in the rights of cyclists, and made sure I received a fair settlement for my injury. She handled every aspect of my case and kept me updated so I could focus on my recovery.

What a Business Lawyer Can Do for You

A business lawyer provides critical legal guidance and support to entrepreneurs, startups, and established businesses. Whether you are forming a new company, drafting contracts, or navigating complex regulations, a business attorney ensures you are legally protected and operating within the law. They can also help prevent legal disputes or represent you in negotiations, transactions, or lawsuits that arise during the course of business operations.

Business lawyers have expertise in areas such as business formation, contract law, intellectual property, employment law, mergers and acquisitions, and corporate governance. They ensure that your business is compliant with relevant laws and help mitigate risks that could threaten your company's success.

When Should I Hire a Business Lawyer?

Hiring a business lawyer is essential at various stages of business development, including:

  • Forming a business: When deciding on the best structure for your company (LLC, corporation, partnership, etc.), a lawyer can guide you through the registration and compliance process.
  • Drafting contracts: If you need contracts for employees, partners, suppliers, or clients, a lawyer ensures these documents are legally sound and in your best interest.
  • Mergers, acquisitions, or dissolutions: If you are buying, selling, or dissolving a company, legal counsel is critical to avoid costly mistakes.
  • Compliance and regulatory issues: A lawyer can help navigate complex regulations, particularly in industries like healthcare, finance, or tech.
  • Resolving disputes: Whether it's contract disagreements, intellectual property infringement, or employment issues, a business lawyer helps mediate, negotiate, or litigate on your behalf.

What Does a Business Lawyer Do?

Business lawyers provide a wide range of services that cater to different legal needs of a business. They can:

  • Help you choose the best legal structure for your business.
  • Draft, review, and negotiate contracts with employees, suppliers, customers, or business partners.
  • Ensure regulatory compliance with local, state, and federal laws.
  • Advise on tax strategies to minimize your business's tax burden.
  • Assist with intellectual property protection, such as trademarks, patents, and copyrights.
  • Handle mergers, acquisitions, and business sales, ensuring all legal paperwork is in order.
  • Resolve disputes through negotiation, arbitration, or litigation.

How Are Business Lawyers Paid?

Business lawyers typically charge either by the hour or on a flat-fee basis, depending on the complexity of the work. Common payment structures include:

  • Hourly rates: The lawyer charges based on the time spent working on your case. Rates vary depending on the lawyer's experience and location.
  • Flat fees: For certain tasks, such as incorporating a business or drafting a standard contract, a lawyer may offer a flat fee.
  • Retainer: Some businesses may hire a lawyer on retainer, paying a fixed amount each month to have ongoing access to legal services.

The payment structure is often discussed during an initial consultation so you can choose the one that best suits your business needs and budget.

How Much Does a Business Lawyer Cost?

The cost of hiring a business lawyer depends on factors such as:

  • The complexity of the legal issue: More complex matters, like mergers or intellectual property disputes, typically cost more than routine tasks like contract drafting.
  • The lawyer's experience and location: More experienced lawyers or those in larger cities often charge higher fees.
  • The nature of the billing arrangement: Hourly rates can range from $150 to $1,000 or more, depending on the lawyer's expertise. Flat fees are usually available for simpler matters like forming an LLC or drafting a standard contract.

It's essential to discuss fee structures upfront to avoid surprises.

Top Questions to Ask a Business Lawyer

Before hiring a business lawyer, ask the following questions during your consultation:

  1. What is your experience with businesses like mine?
Find out if the lawyer has handled legal issues for companies in your industry.
  2. What services do you offer?
Ensure the lawyer can meet all your business's legal needs, from contract drafting to dispute resolution.
  3. What are your fees, and how do you bill?
Get clarity on how you'll be charged - whether by the hour, flat fee, or retainer.
  4. How do you handle conflicts of interest?
Ask how the lawyer ensures there is no conflict in representing your business.
  5. Can you provide references from other business clients?
Speaking with past clients will give you an idea of the lawyer's expertise and professionalism.
  6. Do you have experience in my specific industry?
Industry-specific knowledge can be crucial, especially in highly regulated fields like healthcare or finance.

How to Check the Credibility of a Business Lawyer

To ensure you're hiring a reputable business lawyer:

  • Check state bar association records: Verify that the lawyer is in good standing and has no disciplinary actions against them.
  • Look for client reviews or testimonials: Online reviews, testimonials, or word of mouth from other business owners can provide insight into the lawyer's reliability and effectiveness.
  • Ask for references: A credible lawyer should have satisfied clients who can vouch for their services.
  • Check professional memberships: Membership in respected legal organizations (such as the American Bar Association or a local business lawyer association) can signal credibility.
  • Review their website and professional profile: A well-established lawyer typically has a professional website showcasing their areas of expertise, credentials, and case success.

What Should I Prepare for My First Consultation?

To make the most out of your first consultation with a business lawyer, prepare the following:

  • A description of your business and its structure: This will help the lawyer understand your legal needs.
  • Any current contracts or agreements: If you're seeking contract advice, bring copies of existing contracts.
  • A list of legal issues or concerns: Be ready to discuss any potential legal challenges, such as regulatory compliance, disputes, or transactions.
  • Financial documents: If applicable, bring financial records related to the legal matter you're seeking help with.
  • Questions about fees and billing: Ensure you understand the lawyer’s payment structure and fees upfront.

By preparing these materials, you can ensure that your first meeting with a business lawyer is productive and informative.
