In late 2023, I had a client which was purchasing a $2 million commercial investment property and wanted to do a 1031 exchange using the sale of three multi family residential investment properties to fund the purchase. Unfortunately, the purchase of the $2 million property had to happen (ToE) before I could close the three residential properties, the closings for which would be staggered over two or three months after the acquisition. In other words, I had to do a reverse 1031 exchange. While I have been a real estate lawyer for 50 years and had done a number of traditional 1031 exchanges, I had never done a reverse 1031. I didn't know where to begin. However, speaking to counsel at Legal 1031 Exchange Services, LLC resolved my difficulties. While the transaction was ultimately somewhat complicated, with the help of Attorney James Walther and his very competent and empathetic staff at Legal 1031 Exchange Services, I was able to maneuver the technical requirements of the IRS code to a successful conclusion, and my client was able to incorporate the sale of all three residential properties into the exchange, thereby saving hundreds of thousands of dollars in long-term capital gains taxes. I could never have done it on my own or with the help of my own CPA who is quite knowledgeable in these matters (but not a lawyer). While I don't usually share publicly my experiences with various professionals, in this case, I felt strongly to do so. Recently, I had the opportunity to engage with Legal1031 Exchange Services (Legal), a firm that assists in the fostering and facilitation of 1031 exchanges. My experience in this area was that of a novice. Not knowing what to expect, Legal did an outstanding job. Beyond my expectations.
