I'm surprised that there are so many 5 star reviews here. I have to imagine that any of the previous work that Mr. Brashears has done has been "plain vanilla" or that he's just more familiar with it than he was with my project. In any case, I never write reviews, but I can't let my experience go un-reviewed. I needed a convertible note so I hired Mr. Brashears through ContractsCounsel. While he was very pleasant, the following was basically the extent of his work: 1. Questioned what I needed, telling me that it sounded like I needed a Membership Interest Purchase Agreement. That is not what I needed at all. That should have been my first clue that he didn't have any knowledge about convertible notes, but I had already hired him. 2. After I reminded him that I wanted a convertible note, he sent me a template with very few blanks filled in that I could have found online with minimal effort. The template did not address most of the terms that I had laid out very specifically upfront. I noticed later that there were even parts of the template that weren't completed at all. 3. I sent him a redlined version back, with some comments and questions. 4. He sent me a few vague messages back, never answered my questions, and finally when I asked he submitted one small update to the agreement that didn't fully address my issues. 5. I completed the remainder of the note myself and set out to hire another lawyer to review it. So now I am paying two lawyers for a job that frankly shouldn't have been that difficult for a lawyer that was competent in the area of convertible notes. Maybe the issue is that he was not competent with convertible notes, but if that was the case he shouldn't have accepted the job (the initial description was very clear as to the nature of the job). Moral of the story: If you're trusting Mr. Brashears for your work, make sure he's done it before and has good reviews for that particular work.
